Job Description:

The Office of the Corporate Secretary, a part of DXC’s Corporate Legal Department, is seeking a Senior Professional, U.S. Legal Entity Manager. This role assumes responsibility for corporate governance requirements—both governmental filings and board/officer matters—for DXC subsidiaries across the United States and Puerto Rico. The U.S. Entity Manager will report to the Legal Director, Corporate Governance.

DXC Corporate Secretary is proudly remote-first. This role may be located in any U.S. state. Occasional early morning calls accommodating European afternoons will be required.

RESPONSIBILITIES:

  • Day-to-day management of legal entity governance formalities in the United States and Puerto Rico—annual compliance and good standing oversight across every U.S. state and maintenance of legally-required corporate records/electronic minute books
  • Drafts and edits written resolutions, corporate consents, Officer’s/Secretary’s Certificates, Organograms and other routine changes to By-Laws, Operating Agreements and other governance documentation. Manages the referral of complex changes to registered agent vendors, internal counsel or external law firms
  • Joins team monitoring the Global Corporate Secretary mailbox to assist our worldwide colleagues on a wide variety of corporate inquiries.
  • Takes ownership of U.S. legal entity data accuracy and makes necessary updates to global legal entity management system for the region
  • Performs sufficiency checks and acts as a key control regarding document approval prior to execution by officers; coordinates obtaining signatures from global senior executives
  • Supports global restructuring initiatives and other projects impacting the U.S. region

REQUIREMENTS & COMPETENCIES:

  • Experience managing legal entity and corporate secretarial duties, either directly or through vendors: tasks include formation, dissolution, corporate records review, annual compliance, director/officer consents and resolutions, and coordination of physical and/or e-signatures
  • Familiarity with GEMS or the concepts of other Legal Entity Management systems preferred
  • Highly organized, proactive, resourceful, agile and possesses service-oriented attitude. Strong ability to prioritize multiple matters. Self-starter with ability to work independently but collaboratively.
  • Excellent written and verbal communication skills and the ability to clearly, thoroughly, and succinctly communicate complex ideas and workflows to both operational and management audiences
  • Strong situational judgment and operational decision-making ability
  • Some project management experience helpful
  • Law licensure is not required. Paralegal, JD, or MBA credentials and/or applicants with substantial corporate governance experience regardless of education are encouraged to apply.

The base salary range represents the low and high end of the DXC salary range for this position. Actual salaries depend on a wide range of factors that are considered in making compensation decisions, including but not limited to skill sets; experience and training, licensure, and certifications; and other business and organizational needs. The range listed is just one component of DXC's employee compensation package. Other rewards may include a vacation policy and region-specific benefits.

At DXC, it is not typical for an individual to be hired at /near the top of the range. A reasonable estimate of the current range is 104,000.00 - 156,000.00 USD Annual
